Terms of Service

These Terms of Service (the “Terms”) are a binding agreement between you and Aradsoft Ltd., a Canadian company (“OIOXO”, “we”, “us”), governing your access to and use of the OIOXO web application at oioxo.com, the OIOXO desktop application, the OIOXO mobile application, the OIOXO Visual Studio Code extension, the OIOXO command-line interface, and any related software, models, and services (together, the “Service”). By accessing or using the Service, or by clicking “Accept”, you agree to these Terms, our AI & Reliability Disclaimer, and our Privacy Policy. If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

1. The Service

OIOXO is an AI-assisted development environment. Its defining property is that AI code generation runs on your device; our servers provide accounts, usage metering, model delivery, and billing. The privacy overview describes exactly which is which. You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction) to use the Service.

2. Your account

  • You may try OIOXO without an account; continued use requires a free account.
  • Keep your credentials to yourself; you’re responsible for all activity under your account.
  • One person per account. Don’t create accounts to evade usage allowances.
  • Provide accurate information and keep it current.

3. Your code is yours

You retain all rights to code and content you create, open, or generate with OIOXO (“Your Content”). We claim no ownership of it and — because of the on-device architecture — we don’t even receive it. To the extent we have any right, title, or interest in the output a model generates for you, we assign it to you, so that as between you and us you own that output, to the extent permitted by applicable law. You are solely responsible for Your Content, for ensuring you have the rights to any code you open in the Service (e.g., from GitHub), and for how you use, deploy, distribute, or rely on anything you build. Note that AI output is not always unique — others may generate similar output — and you are responsible for confirming your use doesn’t infringe third-party rights.

4. Artificial intelligence — nature, limits, and your responsibility

OIOXO uses artificial intelligence, which is probabilistic and inherently imperfect. You acknowledge and agree that:

  • AI-generated code, suggestions, explanations, and other output (“AI Output”) may be incorrect, incomplete, insecure, inefficient, non-functional, outdated, biased, or misleading, and may not suit your particular purpose.
  • The on-device models OIOXO runs are deliberately small so they can run privately on consumer hardware. They are therefore less capable than large cloud models and are more likely to produce lower-quality or wrong results on complex tasks. This is a known and accepted trade-off for privacy and cost.
  • OIOXO’s verification step (compiling and running code) catches many — but not all — errors. A “verified” or “passing” result does not guarantee the code is correct, safe, secure, or fit for any purpose.
  • You are responsible for reviewing, testing, and validating all AI Output before relying on it, and for any consequences of using it. Do not deploy AI Output to production, handle sensitive data with it, or use it where errors could cause harm or loss without independent review by a qualified person.
  • AI Output is provided “as is” with no warranty of accuracy, correctness, security, originality, or non-infringement. Similar inputs may produce different outputs for different users.

5. Back up your work

OIOXO is an editing tool that can create, modify, overwrite, and delete files in the projects you open. AI agents act on your files, and software can fail. While OIOXO snapshots changes where it can so edits are undoable, you are responsible for maintaining your own backups and version control (for example, Git commits or copies of important work). We are not responsible for any loss of, or damage to, your code, data, or projects. Keep a backup before letting an AI agent make substantial changes.

6. Free plan and fair use

The free plan includes an AI-generation allowance that refills automatically (currently on a 5-hour cycle) and a monthly allowance of BYOK token-saving. Allowances are enforced server-side and may be tuned over time to keep the free tier sustainable. Automating, scraping, or circumventing the meter isn’t allowed.

7. Pro subscription and billing

  • OIOXO Pro is a paid subscription ($3.99/month or $39/year) processed by our payment provider, Stripe.
  • It renews automatically for successive periods until you cancel; you can cancel anytime from the account panel, and Pro stays active until the end of the paid period.
  • Except where required by law, payments are non-refundable, and partial periods are not pro-rated.
  • If we change prices, existing subscribers get advance notice before any change affects them.
  • You authorize us and Stripe to charge your payment method for the subscription. Failed payments may result in suspension of Pro features.

8. On-device models — license

The on-device models we deliver are licensed, not sold, to you for use within the Service on your devices. We grant you a limited, non-exclusive, non-transferable, revocable license to use them for that purpose. You may not extract, copy, redistribute, sell, reverse-engineer, or attempt to de-obfuscate the protected model assets, or use them to train or build a competing model, except where such restriction is prohibited by law.

9. Bring-your-own-key and third-party services

When you use your own API keys (OpenAI, Anthropic, and others), GitHub tokens, publishing targets, or other third-party services, those interactions run directly between your device and the third party under their terms and pricing. Your keys stay on your device. We are not a party to, do not control, and are not responsible for those third-party services, their availability, their charges to you, or their handling of your data. Your use of them is at your own risk and subject to their agreements.

10. Acceptable use

You agree not to use the Service to:

  • build, distribute, or operate malware, ransomware, or tools to attack or gain unauthorized access to systems you don’t own or have permission to test;
  • infringe intellectual-property, privacy, or other rights, or violate any applicable law or regulation;
  • generate or distribute content that is unlawful, harmful, harassing, or deceptive — including, without limitation, any child sexual abuse material (CSAM) or content that sexualizes minors;
  • use the Service, its models, or its output to train, build, or improve a competing AI model or service, or to scrape or bulk-extract the Service or its models;
  • probe, overload, disrupt, or circumvent the Service, its security, or its usage metering, or resell or sublicense the Service without our permission.

We may suspend or terminate access for violations of this Section.

11. Disclaimer of warranties

THE SERVICE, INCLUDING ALL MODELS, SOFTWARE, AND AI OUTPUT, IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTIES OF ANY KIND, whether express, implied, statutory, or otherwise. To the maximum extent permitted by law, we disclaim all warranties, including any implied warranties of merchantability, fitness for a particular purpose, title, accuracy, quiet enjoyment, and non-infringement, and any warranty that the Service or AI Output will be uninterrupted, error-free, secure, correct, or that defects will be corrected. You assume all risk and responsibility for selecting and using the Service and AI Output to achieve your intended results. Some jurisdictions don’t allow certain warranty exclusions, so some of the above may not apply to you.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OIOXO AND ITS OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, CODE, GOODWILL, OR BUSINESS, arising out of or relating to the Service or these Terms, even if advised of the possibility of such damages, and regardless of the theory of liability. This includes, without limitation, any loss or damage resulting from AI Output, from code that an AI agent created, modified, or deleted, from reliance on a “verified” result, from data or project loss, or from your failure to maintain backups.

Our total aggregate liability for all claims relating to the Service will not exceed the greater of (a) the amount you paid us for the Service in the 12 months before the event giving rise to the claim, or (b) USD $50. Nothing in these Terms limits liability that cannot lawfully be limited (such as for fraud, or death or personal injury caused by negligence). Because some jurisdictions don’t allow certain limitations, parts of this Section may not apply to you; in that case our liability is limited to the smallest extent permitted by law.

13. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless OIOXO and its officers, employees, and suppliers from any claims, damages, liabilities, and reasonable expenses (including legal fees) arising out of (a) Your Content, (b) your use of the Service or of any AI Output, (c) code you ship, deploy, or distribute, or (d) your violation of these Terms, of applicable law, or of the rights of a third party.

14. Changes and termination

We may update the Service and these Terms; material changes will be announced (for example, in the changelog), the “Last updated” date above changed, and — where appropriate — you may be asked to accept again. Continued use after an update means you accept the updated Terms. You can stop using the Service at any time — and because your projects live on your device, they remain yours, untouched. We may suspend or terminate accounts that violate these Terms. Sections that by their nature should survive termination (including 3–5 and 11–16) survive.

15. Governing law and disputes

OIOXO is operated by Aradsoft Ltd., a company incorporated in Canada. These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-laws rules, and you and OIOXO submit to the courts located in Ontario, Canada for any dispute — except where mandatory consumer-protection law where you live gives you other rights, which these Terms do not take away. If any provision of these Terms is held unenforceable, the rest remains in effect.

16. Experimental features

Some OIOXO features — for example, the multi-device Compute Mesh, on-device vision, and new model tiers — are experimental and may change, break, or be withdrawn at any time. They are provided “as is,” may be unreliable, and carry no service commitment. Use them at your discretion.

17. Copyright and takedowns

OIOXO respects intellectual-property rights. If you believe content made available through the Service infringes your copyright, email copyright@oioxo.com (or support@oioxo.com) with the work concerned, where it appears, your contact details, and a good-faith statement. We review valid notices and remove infringing content where appropriate. Because your code and projects live on your device, most content never touches our servers; we act on notices for anything we do host.

18. Export and sanctions

You may not use OIOXO if you are barred from receiving software under applicable export-control or sanctions laws, and you agree not to use OIOXO for any purpose those laws prohibit.
